IN ORDER TO PURSUE THE PURPOSES OF GOD and Fishermen and work toward establishing a just and equal Society for Fishermen/women in The Americas, Without Prejudices in Race, Religion, or Sexual Orientation,
We the members of FTF/FCS hereby adopt these Articles of Association creating the voluntary association
of believers united for fellowship, instruction in all matters related to fishing and fishing cultures, and service to God and our fellow man.
Article 1 - Name and Organization
§ 1.1 The name of the organization is Fair Trade Fish/Fishermen's Cultural Society
§ 1.2 The Organization is organized as an unincorporated nonprofit association pursuant to SC Code §___________
Article 2 - Principle of Autonomy.
§ 2.1 This Organization has a primary responsibility to All Fishermen and Their families, to God and to the Human Potential Movement.
§ 2.2 This Society is Ecclesiastically Sovereign and as this Organization is sovereign under God,
and all power is exercised by Consensus within the Governing Board and the All members Council of this Organization, all decisions made shall not be subject to change or reversal by any other body. This Organization is autonomous, but advice and counsel from qualified others in the Fishing Industry of like principles and faith may be sought.
Article 3 - Purposes and Activities
§ 3.1 Purposes.
The unincorporated nonprofit association is organized for Educational, Fellowship, and charitable purposes pursuant to SC Code § to the extent that said purposes are consistent with IRS § 501(c)(3) (1986), as amended, or any superseding statutes thereto.
§ 3.2 Activities.
Pursuant to the purposes prescribed in § 3.1 above, the organization shall conduct any and all activities deemed necessary and proper by the Governing Board consistent with the laws of the United States of America and the State of SC and ALL other Countries whose members reside within.
Said activities shall include, but not be limited to:
(a) Local Meetings Areas Deemed applicable.
The unincorporated nonprofit association shall form and operate a Central Location dedicated to the propagation of fishing related activities such as Education, Training, Charitable work, and any and all other projects deemed worthy of this Organization in The Americas.
b) Teaching Fishing Techniques to your children and peers, training and safety for fishermen, first aid, swimming, water safety classes and encouraging persons in the operation of boats, fishing gear and processing of seafood, and the other following non fishing related instruction and schooling: English and Spanish language, child care, community support and providing a place for all persons in the Organization for solace and charitable work.
Pursuant thereto, the following guidelines are observed:
(1) Recognized Creed.
A recognized creed, code of doctrine, discipline, and form of procedure shall be established.
(2) Government.
Consensus and Robert's Rules of Order are the Guidelines
(3) By-Laws
By-Laws Shall be addressed and written as Procedural Implementation is Progressed, through Consensual Agreement of the Board and Founding Members
(4) Organization
Each Country of Each member shall have their own space and sub-governing board
(5) Instruction.
Schools of instruction for children and adults shall be established using any and all appropriate media available: classes, conferences, seminars, radio, television, and any other appropriate media hereafter discovered and established.
(6) Literature.
The Organization shall develop, publish, and distribute literature in the form of books, pamphlets, audio and video tapes, and other forms of mass media for the express purposes of educating persons with aspects of fishing and fishing as a profession.
(7) Regular Meetings.
The Organization shall establish regular meetings, classes, and functions pursuant to the recognized creed, form of worship, code of doctrine, and discipline of the Organization and shall establish Guidelines for the young and the old.
(8) Training Center.
The Organization shall establish a Training Center for the preparation of Future Fishermen/women of like faith and practice and to include other concerns of Sustainability and Appropriate Technology.
Article 4 - Duration
§ 4.1 Perpetual Duration.
The duration of the Organization shall be perpetual, unless sooner dissolved by an act of its members.
§ 4.2 Dissolution Procedures.
In the event of the dissolution of the Organization, assets of the Organization shall be distributed to another Fishing related Organization organized exclusively for the Educational and/or charitable purposes similar to the purposes of this Organization so enumerated in § 3.1 of these Articles of Association and recognized as an exempt organization under IRS § 501(c)(3) (1986).
Article 5 - Powers and Responsibilities
§ 5.1 The Organization
The Organization shall reserve the right to exercise all powers accorded unincorporated nonprofit associations pursuant to SC. Code. § ________ et seq. ,to the extent that said powers enable acts which are not inconsistent with IRS § 501(c)(3) (1986)
.
§ 5.2 Private Immurement Prohibited.
No part of the net earnings of the Organization shall inure to the benefit of, or be distributable to its members, directors, officers, or other private persons, except that the Organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in § 3.1 of these Articles of Association.
Any salaries, together with fringe benefits or other forms of compensation (housing, transportation,and other allowances) paid to or provided employees, directors, or officers, will not exceed a value which is reasonable and commensurate with the duties and working hours associated with such employment and with the compensation ordinarily paid persons with similar positions and duties.
§ 5.3 Influencing Legislation Restricted.
No substantial part of the activities of the Organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation., unless the goals are to enhance and benefit the Organization with consensus of the approval of the Board. and meet ALL Federal, State and International Laws.
§ 5.4 Political Activities Prohibited.
The Organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office.
§ 5.5 Activities Restricted to Exempt Purposes.
Not withstanding any other provision of these Articles of Association, the Organization shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under IRS § 501(c)(3) (1986), or
(b) by a corporation, contributions to which are deductible under IRS § 170(c)(2) (1986).
Article 6 - Amendments
§ 6.1 Process of Amending Bylaws.
These Bylaws may be amended by the Organizational Board as follows:
(a) Introduction of Amendments.
Proposed amendments shall be introduced for study and consideration in the annual meeting of the Board
. No amendments may be enacted at the same meeting in which they are introduced.
(b) Enactment of Amendments.
Amendments shall be enacted at a special meeting for said purpose to be scheduled no less than one month and no more than six months from the date of introduction of the proposed amendment. Proposed amendments shall be considered in force if they are affirmed by FULL consensus of the members of the Organizing Board present at the special meeting. The forgoing Articles of Association are certified to have been adopted by the Organizing Board , on the _____ day of ____, 2008.
